1. About MarketIntel

MarketIntel ("the Service", "we", "us") is a read-only event-intelligence platform — accessible through mobile applications, web applications, and application-programming interfaces — that aggregates publicly available data, including news articles, sports schedules and results, and prediction-market data (pricing, volumes, end dates, and resolution outcomes). The Service applies proprietary artificial-intelligence and statistical analytical methods to that aggregated data to produce intelligence, sentiment, and probability-assessment outputs for adult consumers. The Service is operated by VisAI Group LLC.

MarketIntel is NOT a broker, exchange, dealer, investment adviser, betting operator, or sportsbook. We do not custody funds, place wagers, execute trades, route orders, match buyers and sellers, or otherwise facilitate any transaction on any third-party platform.

MarketIntel does not contain in-app hyperlinks, deep links, "Open on …" buttons, affiliate redirects, or any other navigation path that initiates a session on a prediction-market or sports-wagering platform. See §5 below.

2. Not Financial, Investment, Legal, or Tax Advice

Nothing displayed in MarketIntel — including market sentiment data, news, sports schedules and scores, AI-generated analysis (the "AI Event Analyst"), price charts, the "Today's Edge" daily card, the "Daily Brief" screen, peer-market comparisons, the "For You" personalized rail, or any other content — constitutes financial advice, investment advice, trade or wagering recommendations, legal advice, tax advice, or an offer or solicitation to buy, sell, trade, or wager on any security, contract, event outcome, or instrument.

You are solely responsible for your own research, decisions, and any consequences resulting from any activity you undertake outside MarketIntel. Consult a qualified, licensed professional before making any financial decision.

3. No Affiliation With Third-Party Platforms

MarketIntel is independent. We are not affiliated with, endorsed by, sponsored by, authorized by, or in a business relationship with Kalshi, Polymarket, KalshiEx LLC, Polymarket Holdings, TheSportsDB, any sports league or media organization, or any other prediction-market operator, sportsbook, exchange, broker, or regulator whose publicly available data may appear within the Service.

All product names, logos, and brands referenced in the Service are the property of their respective owners. References are descriptive under the doctrine of nominative fair use and do not imply any partnership, sponsorship, or endorsement.

4. Age Requirements and Access Restrictions

Minimum age to use the Service. You must be at least 18 years old to create an account and use MarketIntel. By accepting these Terms, you represent and warrant that you are at least 18 years old.

Prediction-market feature restriction. Certain features of the Service — including but not limited to probability assessments, prediction-market data and pricing, edge-detection scores, and the "Today's Edge" and "Daily Brief" outputs — are intended only for users who are 21 years of age or older, reflecting the financial and event-outcome subject matter of that content. By accessing those features, you represent and warrant that you are at least 21 years old.

Relationship to app-store age ratings. A mobile app-store age rating (for example, Apple's 17+ content rating) is a content-based classification set by the platform. It is separate from, and does not override, the contractual eligibility requirements stated above.

Age verification and misrepresentation. We reserve the right to implement age-verification measures at any time, including asking you to confirm your date of birth before accessing age-restricted features. We are not responsible for any misrepresentation of age by a user, and we may immediately suspend or terminate — without refund of any fees paid — the account of any user we find to have misrepresented their age.

MarketIntel is not directed to, and does not knowingly collect information from, children under the age of 13.

5. Jurisdictional Considerations and No Outbound Linking

Prediction markets, sportsbooks, and other wagering platforms are regulated differently across U.S. states and countries. Access to specific platforms may be restricted, prohibited, or unlawful in your jurisdiction. The same activity may be lawful in one state or country and prohibited in another.

MarketIntel itself is an information service. We do not execute, broker, place, match, or facilitate any wager, trade, or transaction. We do not hold or transfer customer funds. We do not surface "View on …" buttons, deep links, affiliate redirects, or any other in-app navigation path to any prediction-market or sports-wagering platform.

Where the Service describes a market position (for example, a probability percentage on a public event), that description is informational analysis derived from publicly available data. It is not an invitation, recommendation, or facility to take any position elsewhere.

You are solely responsible for determining whether your viewing of data within MarketIntel is lawful in your jurisdiction. You are also solely responsible for any separate activity you choose to undertake on any third-party platform, accessed by you independently of MarketIntel. If use of MarketIntel is unlawful where you are, you must discontinue use immediately.

6. No Warranty of Data Accuracy

MarketIntel presents data aggregated from third-party sources on a best-effort basis. Prices, volumes, sparklines, end dates, news content, sentiment scores, sports schedules, scores, venues, statuses, "For You" rankings, "Today's Edge" picks, "Daily Brief" picks, and all other displayed values may be delayed, stale, incomplete, mis-categorized, or wrong.

The Service is provided "AS IS" and "AS AVAILABLE" without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or accuracy.

Do not rely on MarketIntel data for any decision with real-money consequences without independently verifying it.

7. AI-Generated Content — Probabilistic and Potentially Wrong

MarketIntel's AI Insights, AI Event Analyst, Expert AI engine (Pro+), Today's Edge commentary, Daily Brief commentary, and any other AI-generated content are produced by third-party large-language-model providers (including OpenAI, Anthropic, and Google) and have NOT been reviewed by a human analyst before display.

AI output is probabilistic, may contain errors, may "hallucinate" facts that do not exist, and can reflect biases in training data. Treat AI output as a starting point for your own research — never as a conclusion.

Any bull case, bear case, peer-market comparison, sentiment analysis, edge-detection score, or "catalyst" description may be inaccurate, outdated, or oversimplified. The name "AI Event Analyst" is a feature label, not a representation that the Service provides personalized investment, wagering, or legal advice.

All AI-generated content is produced in real time by a fully automated multi-model AI ensemble (which may include OpenAI, Anthropic, and Google/Gemini as sub-processors), with NO human editorial review prior to display, and is provided on an "AS IS" and "AS AVAILABLE" basis without any warranty of accuracy, completeness, timeliness, or freedom from errors, omissions, or hallucinations.

8. Personal Calls Are Tracking, Not Trading

The "I think YES" / "I think NO" buttons, Track Record screen, accuracy percentage, best-category highlight, and call history are a personal prediction-tracking feature inside MarketIntel. They do NOT place real orders, move real money, or create any position on any platform.

A MarketIntel call has no legal, financial, or regulatory effect. Your accuracy percentage has no correlation to, and is not predictive of, your performance with real money on any third-party platform.

9. "Today's Edge", "Daily Brief", "For You", and Movement Alerts — Informational Only

The "Today's Edge" card, the "Daily Brief" screen, the "For You" personalized rail, the "What changed since your last visit" banner, in-app price-move alerts, and (where enabled in a future release) push-notification movement insights are informational signals computed from public data. They are NOT buy, sell, hold, or wagering recommendations, and are not tailored to your financial situation, risk tolerance, or objectives.

Edge-detection scores measure statistical divergence between public news sentiment and a public market's implied probability. "For You" rankings are produced by a deterministic, non-personalized-advice scoring function (category affinity from your watchlist, price movement, liquidity, trending flag, closing horizon). They do NOT predict future prices. They do NOT predict outcomes.

10. Accounts, Device Identification, and Data Storage

MarketIntel identifies users by default through a device-generated anonymous identifier. By default we do not require or collect your legal name, address, phone number, or government ID.

What we store on our servers (in all cases):

• your device identifier;
• the markets you bookmark to your watchlist;
• your subscription tier, billing period, and subscription usage counters;
• your personal prediction calls and their snapshots;
• your support-ticket submissions (subject, body, category, device + app metadata);
• anonymous in-product analytics events (which screens you viewed, which markets you tapped, batched in aggregate; no PII).

What we store ONLY if you opt into the feature:

• if you create a Recovery-Code Account (an optional feature that lets you restore your watchlist and subscription on a new device): your email address, a chosen short nickname, and a one-way cryptographic hash of your recovery code. The plaintext recovery code is shown to you exactly once at creation and is not stored on our servers;
• if you include an email in a Support ticket: that email address, used solely for follow-up;
• if you enable push notifications on a future release: a device push token issued by Apple or Google.

What your local device additionally stores (never sent to our servers unless required to render a feature):

• your terms-acceptance flag and version;
• your age-confirmation flag;
• your onboarding-complete flag;
• your sort and filter preferences and last selected category;
• your last-seen YES prices for the watchlist-changes banner;
• your Today's Edge / Daily Brief dismissal state;
• your device identifier and the cached snapshot of your watchlist set;
• the timestamp of your most recent market-data refresh.

Third-party service providers we route data through to operate the Service:

• OpenAI, Anthropic, and Google — the large-language-model providers that receive your AI-analysis prompt and the contextual market metadata needed to generate a response;
• Sentry — receives anonymized crash reports and error stack traces;
• PostHog — receives anonymized in-product analytics events keyed by your opaque device identifier;
• Apple In-App Purchase — processes any subscription payment; we never see your payment-card data.

We do not sell your data. We do not knowingly share your data with third parties except as described above to operate the Service, or as required by law. We do not use your data for advertising and we do not place advertising in the Service.

11. Subscriptions, Auto-Renewal, and Cancellation

MarketIntel offers optional paid subscription tiers (currently Pro and Pro+, billed monthly or annually) that unlock progressively higher feature limits, plus optional one-time "Expert Pack" consumable purchases that add a fixed number of additional AI analyses to your account. A Free tier is available indefinitely.

Consumables. Expert Packs are non-subscription, one-time purchases. They do NOT auto-renew, the credits they add do not expire, and they are consumed only after your subscription's included monthly AI-analysis allotment is exhausted.

Payments. All paid subscriptions are processed through Apple In-App Purchase, in accordance with Apple App Store Guideline 3.1.1. Subscription fees will be charged to your Apple ID at confirmation of purchase. VisAI Group LLC does not directly receive or store your payment card information.

Length. The length of each subscription period is shown in-app at the time of purchase: monthly subscriptions auto-renew every 30 days; annual subscriptions auto-renew every 365 days.

Auto-Renewal. Your subscription will automatically renew at the then-current price for the same period unless you cancel auto-renewal at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period. No partial-period refunds will be issued for unused time within a renewed period.

Cancellation. You may cancel auto-renewal at any time from the iOS Settings app: Settings → [your Apple ID] → Subscriptions → MarketIntel → Cancel Subscription. Cancellation takes effect at the end of the then-current paid period, and you will retain the paid tier's benefits until that date.

Refunds. Refund requests for in-app purchases are handled by Apple under its standard refund policy. VisAI Group LLC cannot issue refunds directly for Apple In-App Purchases.

Price Changes. We may change subscription prices from time to time. If we increase the price of an existing subscription you are enrolled in, we will notify you and obtain your fresh consent before the increased price takes effect, in accordance with App Store policies.

Trials. Where a free trial is offered, the trial duration, post-trial price, and the date your card will first be charged will be disclosed in-app before you start the trial. Unless you cancel auto-renewal at least 24 hours before the trial ends, the subscription will begin at the disclosed price.

Tier Downgrade. If you cancel a paid subscription or it lapses without renewal, your account will revert to the Free tier and feature limits will adjust accordingly. Data you stored while on a paid tier (watchlist, prediction calls, support tickets) remains intact.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VISAI GROUP LLC, ITS AFFILIATES, MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SUB-PROCESSORS (INCLUDING OPENAI, ANTHROPIC, AND GOOGLE/GEMINI) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, TRADING OR WAGERING LOSSES, DATA LOSS, GOODWILL, OR OTHER INTANGIBLE LOSSES, OR ANY DAMAGES RESULTING FROM AI-GENERATED ANALYSIS, PROBABILITY ASSESSMENTS, SENTIMENT SCORES, THIRD-PARTY DATA INACCURACIES, OR AI-GENERATED INACCURACIES (COMMONLY CALLED "HALLUCINATIONS") — ARISING OUT OF OR RELATED TO YOUR USE OF MARKETINTEL.

OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100.00) OR (B) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THIS LIMITATION APPLIES WHETHER THE CLAIM IS BASED ON WARRANTY, CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Essential basis of the bargain. You acknowledge that the limitations in this Section reflect a reasonable allocation of risk and are an essential basis of the bargain between you and VisAI Group LLC; without them, VisAI Group LLC could not provide the Service at its current pricing.

Exceptions. Nothing in these Terms excludes or limits our liability for: (a) gross negligence or willful misconduct; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded or limited under applicable Wyoming or U.S. federal law.

Non-waivable rights. Some jurisdictions do not allow the exclusion or limitation of certain warranties or of incidental or consequential damages. In those jurisdictions the exclusions and limitations above apply only to the fullest extent permitted by law, and nothing in these Terms affects any non-waivable statutory rights you may have as a consumer.

13. Indemnification

You agree to defend, indemnify, and hold harmless VisAI Group LLC, its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; or (d) any activity you separately undertake on any third-party prediction-market, sportsbook, brokerage, or similar platform, including but not limited to any account creation, deposit, wager, trade, or withdrawal you initiate after viewing data within MarketIntel.

14. Arbitration and Class-Action Waiver

Informal resolution first. Before initiating arbitration, you agree to first try to resolve any dispute informally by contacting us at legal@visaigroup.com and allowing at least thirty (30) days of good-faith negotiation from the date of that notice.

If the dispute is not resolved through negotiation, then any dispute, claim, or controversy arising out of or relating to MarketIntel or these Terms — except for equitable relief described below — shall be resolved through FINAL and BINDING INDIVIDUAL ARBITRATION, and NOT in a court of law.

Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, in the English language, before a single arbitrator knowledgeable about the subject matter, via document-only or video proceedings where permitted. The arbitrator's decision is final and may be entered as a judgment in any court of competent jurisdiction.

YOU AND VISAI GROUP LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. You waive any right to a jury trial.

Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual-property rights or prevent unauthorized use.

Savings clause. Where applicable law prohibits arbitration of a dispute or the waiver of class or representative actions or of a jury trial (for example, certain mandatory consumer protections in some U.S. states, the United Kingdom, the European Union, Canada, Australia, or India), this Section does not apply to that dispute to the extent prohibited, and you retain any mandatory local rights, including the right to bring a claim in your local courts.

You may opt out of this arbitration provision by emailing legal@visaigroup.com within thirty (30) days of first accepting these Terms with the subject line "Arbitration Opt-Out".

15. Suspension and Termination

We may suspend or terminate your access to MarketIntel at any time, with or without notice, for any reason, including suspected abuse, fraudulent activity, violation of these Terms, or a requirement to comply with law.

You may stop using the Service at any time. Upon termination, Sections 2, 3, 6, 7, 11, 12, 13, 14, and 18 shall survive.

16. Changes to These Terms

We may modify these Terms at any time. Material changes will be surfaced through an in-app prompt requiring your fresh acceptance before continued use. Minor clarifications may be made with updated "Effective Date" below without a new prompt.

Your continued use of MarketIntel after new Terms take effect constitutes your acceptance of them.

17. Trademarks and Intellectual Property

"MarketIntel" and the MarketIntel logo are property of VisAI Group LLC. All software, design, copy, layout, analytical methods, statistical models, datasets, and presentation within the Service are owned by VisAI Group LLC and protected by applicable intellectual-property laws, including copyright, trademark, trade-secret, and patentable methods.

References within MarketIntel to third-party platforms, leagues, media organizations, and data providers are purely descriptive under the doctrine of nominative fair use. All such marks are property of their respective owners.

Sports schedules and results displayed within the Service are sourced from TheSportsDB (https://www.thesportsdb.com), an open community sports database. League names, team names, venue names, and logos appearing in connection with sports content are property of their respective leagues, clubs, and licensees.

Ownership of Output. The insights the Service produces (the "Output") are derived from the metadata and public data it processes (the "Input"). As between you and VisAI Group LLC, all Output is owned by VisAI Group LLC. Because Output is generated by machine-learning models from shared public data, it may not be unique, and the Service may produce similar or identical Output for different users.

Restrictions and acceptable use. Except as expressly permitted, you may not: (a) copy, modify, distribute, sell, sublicense, or create derivative works from the Service or its Output; (b) reproduce, scrape, or systematically extract any part of the Service; or (c) use the Service, its data, or its Output to develop, train, fine-tune, or improve any machine-learning model, or to build any competing product or service.

18. Governing Law and Venue

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles. For any dispute not subject to arbitration, the exclusive venue shall be the state or federal courts located in Wyoming, and you consent to personal jurisdiction there.
